Effects "run out" at the end of the round, so even though you have defeated all enemies, you will be knocked out. However, since Lilly is still standing nevertheless, you will win the battle but will not gain experience. I also tweaked the Necromancer's Shield-skill, it will step into effect immediately. Quote
